1. Introduction

Welcome to Puddingify, Inc. ("Company", "we", "our", "us"). Our website is puddingify.com (the "Site"). We are incorporated in Ontario, Canada, and operate globally. These Terms of Service ("Terms") govern your access to and use of the Site and all related services (collectively, "Services").

By creating an account, purchasing a subscription, or otherwise using our Services, you agree to be bound by these Terms in their entirety. If you do not agree, you must not access or use the Site or Services.

2. Eligibility

You must be at least eighteen (18) years of age to create an account, purchase a subscription, or upload content to the platform. By using our Services you represent and warrant that you meet this requirement. The Company reserves the right to request proof of age at any time and to suspend or terminate any account where age eligibility cannot be confirmed.

3. Scope of Services

  • We provide cryptographic tooling including hashing, digital signing, timestamp anchoring, X.509 certificate generation, and blockchain-based portfolio storage.
  • We are not a law firm, notary, or Qualified Trust Service Provider under eIDAS.
  • Use of our Services does not constitute legal proof of ownership, authorship, or notarization. Our tools create evidence of existence and integrity โ€” they do not replace legal processes.
  • We are not responsible for how third parties interpret or accept records created through our platform.

4. Account Registration & Security

You are responsible for maintaining the confidentiality of your login credentials, passkeys, and backup codes. You agree to notify us immediately at [email protected] if you suspect unauthorized access to your account. We are not liable for any loss or damage arising from unauthorized use of your account due to your failure to safeguard your credentials.

You agree to provide accurate, current, and complete information during registration and to keep that information updated. Accounts created with false information may be terminated without notice or refund.

5. Subscription Plans & Billing

Puddingify offers the following subscription tiers. Features and limits are as described on the Subscriptions page at the time of purchase and may be updated from time to time:

  • Free โ€” No charge. Limited features.
  • Startup โ€” Available monthly or annually.
  • Startup +Plus โ€” Available monthly or annually.
  • Pro โ€” Available monthly or annually.
  • Pro Advanced โ€” Available monthly or annually.

Billing & Payment

All paid subscriptions are processed through Stripe (stripe.com). By purchasing a subscription you authorize Stripe to charge your payment method on a recurring basis according to your selected billing cycle (monthly or annual). Prices are displayed in Canadian Dollars (CAD) unless otherwise indicated. Applicable taxes may be added at checkout depending on your jurisdiction.

Your subscription renews automatically at the end of each billing period unless cancelled prior to renewal. It is your responsibility to cancel before renewal if you do not wish to be charged for the next period. We are not obligated to issue refunds for charges resulting from failure to cancel before a renewal date.

Annual Subscriptions

Annual subscriptions are billed in full at the start of the subscription period. The full annual fee is non-refundable except where expressly required by applicable law.

Price Changes

We reserve the right to change subscription pricing at any time. Existing subscribers will be notified of price changes at least thirty (30) days before they take effect. Continued use of the Service after a price change constitutes acceptance of the new pricing.

6. Cancellation Policy

You may cancel your subscription at any time through your account's Billing Settings or by contacting [email protected].

Cancellation takes effect at the end of your current paid billing period. This means:

  • If you are on a monthly plan, your access continues until the last day of the current monthly period.
  • If you are on an annual plan, your access continues until the last day of the current annual period.
  • No partial refunds are issued for unused days, weeks, or months remaining in a billing period.
  • Upon expiry, your account reverts to the Free tier. Your data and portfolios are retained subject to the data retention terms below.

7. Refund Policy

All subscription fees are non-refundable, including annual subscriptions, except where required by applicable law (including consumer protection legislation in your jurisdiction).

We do not issue refunds for:

  • Unused time remaining in a billing period after cancellation
  • Forgetting to cancel before a renewal date
  • Dissatisfaction with features, provided the features were as described at time of purchase
  • Failure to use the Service during a billing period
  • Account suspension or termination resulting from a violation of these Terms

If you believe you have been charged in error, contact us at [email protected] within 14 days of the charge and we will investigate. Errors on our part will be corrected promptly.

Service Outage Compensation

If a verified service outage renders the platform substantially unavailable for a continuous period exceeding 24 hours, we will compensate affected subscribers with a pro-rated credit or free subscription extension at our discretion. This is our sole obligation in respect of service availability.

8. Plan Changes โ€” Upgrades & Downgrades

Upgrades

Upgrading to a higher tier takes effect immediately. You will be charged for the new plan at checkout. Any unused credit from your current billing period will be applied as a proration against the new charge, as calculated by Stripe.

Downgrades

Mid-subscription downgrades are not permitted. Your current plan remains active until the end of the paid period. At renewal, you may select a lower tier. This restriction exists because downgrading mid-period would affect existing portfolio collections, storage allocations, and active features that were provisioned under your current plan.

Billing Cycle Changes

Switching between monthly and annual billing cycles of the same plan tier will take effect at the start of your next billing period. No charges apply on the day of the cycle change request.

9. Account Termination by the Company

We reserve the right to suspend or permanently terminate any account at any time, with or without notice, and without refund, for any reason including but not limited to:

  • Violation of any provision of these Terms
  • Fraudulent, abusive, or illegal activity
  • Uploading content that infringes third-party intellectual property rights
  • Providing false registration information
  • Filing a fraudulent chargeback
  • Any conduct we determine, in our sole discretion, to be harmful to the platform, other users, or the Company
  • Non-payment or failed payment that is not resolved within 7 days of notice

In cases of termination for cause, no refund will be issued for any remaining subscription period. The Company's determination regarding the reason for termination is final.

We may also suspend accounts pending investigation of suspected violations without prior notice. If an investigation clears the account, access will be restored and any subscription period lost during suspension will be credited.

10. Dispute Resolution

Step 1 โ€” Contact Us First (Mandatory)

Before initiating any formal dispute, chargeback, or legal proceeding, you must contact us at [email protected] and allow us a reasonable opportunity to resolve the issue. We will respond within 5 business days. Skipping this step and proceeding directly to a chargeback or legal action is a violation of these Terms and may result in account suspension and recovery of our costs.

Step 2 โ€” Chargebacks

If you initiate a chargeback or payment dispute with your bank or card issuer without first contacting us:

  • Your account will be immediately suspended pending resolution
  • We will submit evidence to Stripe and your bank contesting the dispute, including your account records, login activity, and acceptance of these Terms
  • If the dispute is decided in our favour, you remain liable for the original charge plus any chargeback fees imposed on us by Stripe or your card network (typically CAD $15โ€“$25 per dispute)
  • Your account may be permanently terminated regardless of the outcome of the dispute

Step 3 โ€” Formal Dispute Resolution

If a dispute cannot be resolved informally, the following process applies:

  • Governing Law: These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.
  • Jurisdiction: For non-consumer disputes, the exclusive jurisdiction for any legal proceedings is the courts of the City of Toronto, Ontario, Canada. You waive any objection to this jurisdiction.
  • Consumer Rights: Nothing in this section limits rights you may have under mandatory consumer protection laws in your jurisdiction. Consumers in the EU, UK, or applicable Canadian provinces retain their statutory rights regardless of the governing law clause above.
  • Limitation Period: Any claim arising under these Terms must be brought within one (1) year of the event giving rise to the claim, except where a longer period is required by applicable law.

Limitation of Liability

Our total liability to you for any claim arising under these Terms is capped at the greater of CAD $100 or the total fees you paid to us in the twelve (12) months preceding the event giving rise to the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages of any kind, including lost profits, loss of data, or reputational harm, to the maximum extent permitted by applicable law.

11. Cryptocurrency Wallet Disclaimer

Puddingify allows users to associate a cryptocurrency wallet address with their account for the purpose of identity verification, portfolio attribution, and digital rights management. We do not host, custody, manage, or control any cryptocurrency wallet or the funds contained within it.

By providing a wallet address you acknowledge and agree that:

  • Your wallet address is publicly associated with your Puddingify identity record on the blockchain, which is immutable and cannot be removed once recorded
  • You are solely responsible for the security, custody, and control of your wallet and private keys
  • We have no ability to access, freeze, recover, or transfer any funds in your wallet under any circumstances
  • We are not liable for any loss of cryptocurrency, NFTs, or other digital assets, whether arising from wallet compromise, user error, phishing, network failure, or any other cause
  • Providing a wallet address does not create any financial relationship between you and Puddingify
  • You are responsible for ensuring your wallet address is accurate before submission โ€” we cannot correct a recorded address on the immutable ledger

If you lose access to a wallet associated with your account, contact [email protected]. We may be able to update the wallet address displayed on your profile for future records, but we cannot alter any previously anchored blockchain records.

12. Private Key Custody & Irreversibility

You are solely responsible for the safekeeping of any private keys, passphrases, backup codes, and devices associated with your Puddingify cryptographic identity. Lost or compromised keys cannot be recovered by the Company. Blockchain transactions and timestamp anchors are irreversible by design. We are not liable for any loss arising from key compromise, loss, or user error.

13. Third-Party Networks

Our Services depend on third-party networks including OpenTimestamps, the Bitcoin network, Stripe, and other providers. Availability, delays, protocol forks, network fees, and failures of these third-party systems are beyond our control. We disclaim all liability for failures, delays, or changes to third-party networks and services.

14. Meaning of Hashes & Timestamps

A cryptographic hash or blockchain timestamp proves that a specific piece of data existed at or before a specific point in time and has not been altered since. It does not prove authorship, creative originality, legal ownership, or the accuracy of the content itself. You are responsible for ensuring that content you submit is accurate and that you have the lawful right to submit it.

15. User Warranties & Content

By uploading or submitting content to the platform you represent and warrant that:

  • You own or have the lawful right to upload, process, and record the content
  • The content does not infringe any copyright, trademark, privacy, or other rights of any third party
  • The content is not illegal, defamatory, obscene, or in violation of any applicable law
  • You will comply with all applicable privacy and data protection laws in connection with any personal data included in uploaded content
  • You indemnify and hold harmless Puddingify, its officers, directors, employees, and agents from any third-party claim, loss, or expense (including legal fees) arising from your content or your breach of these warranties

16. Content Moderation & Takedown

We may remove or disable access to content that violates these Terms or applicable law, including content that is reported under a valid takedown notice. We follow notice-and-takedown procedures including DMCA compliance for U.S. rights holders.

17. Prohibited Uses

  • No malware, spyware, or stolen credentials
  • No unlawful collection or processing of third-party personal data
  • No content violating export controls, sanctions, or trade restrictions
  • No automated scraping, crawling, or bulk data extraction without written permission
  • No attempts to circumvent security controls, authentication systems, or access controls
  • No use of the platform to impersonate another person or entity

18. Data Retention on Account Termination

Upon cancellation or termination of your account:

  • Your account profile and personal information will be retained for 90 days following the termination date, after which it will be deleted or anonymized
  • Cryptographic records, hashes, timestamps, and UUIDs previously anchored to the public blockchain are immutable and cannot be deleted โ€” they contain no personally identifiable information
  • Portfolio records in the private data collection on our Hyperledger Fabric network can be deleted upon a verified erasure request submitted to [email protected]
  • Data we are required to retain for legal, tax, or regulatory compliance purposes will be retained for the period required by applicable law

19. Service Changes

We may modify, suspend, or discontinue any feature or aspect of the Service at any time, including beta features, without liability. Where changes materially reduce the features included in a paid subscription tier, we will provide at least 30 days notice and offer affected subscribers the option to cancel with a pro-rated refund for the unused portion of their paid period.

20. Electronic Contracting

By using our Services you consent to the formation of contracts by electronic means, including acceptance of these Terms by clicking "I Agree" or by continued use of the platform. This consent applies under the Ontario Electronic Commerce Act, 2000, the U.S. ESIGN Act, UETA, and equivalent legislation in other jurisdictions.

21. Marketing Compliance

We comply with Canada's Anti-Spam Legislation (CASL) and the U.S. CAN-SPAM Act. We will only send commercial electronic messages with your express or implied consent as defined under CASL. Every commercial message includes a functioning unsubscribe mechanism. Unsubscribe requests are processed within 10 business days.

22. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service you agree to the collection, use, and disclosure of your information as described in the Privacy Policy.

23. Changes to These Terms

We may update these Terms at any time. We will post the updated Terms on this page with a revised "Last Updated" date. For material changes, we will notify registered users by email or in-platform notification at least 14 days before the changes take effect. Continued use of the Service after the effective date of updated Terms constitutes acceptance. If you do not agree to updated Terms, you must stop using the Service and cancel your subscription before the effective date.

These Terms of Service constitute the entire agreement between you and Puddingify, Inc. with respect to the subject matter herein and supersede all prior agreements. This document does not constitute legal advice. Puddingify, Inc. recommends that users consult independent legal counsel regarding their specific circumstances.

Billing & Subscription FAQ

Q: Are subscriptions refundable?

No. All subscription fees are non-refundable except where required by applicable law. See Section 7 above for full details.

Q: What happens when I cancel?

Your paid access continues until the last day of your current billing period โ€” monthly or annual. At that point your account reverts to the Free tier. No partial refunds are issued for unused time.

Q: Can I downgrade mid-subscription?

No. Downgrades take effect at the end of your current billing period. You can request a downgrade now and it will apply at renewal. See Section 8.

Q: Can I upgrade mid-subscription?

Yes. Upgrades take effect immediately and you are charged today. Unused credit from your current plan is applied as a proration. See Section 8.

Q: What happens if the service goes down?

For verified outages exceeding 24 continuous hours we will issue a credit or free extension. See Section 7.

Q: Can I pause my subscription?

No. You may cancel at any time, but your plan remains active until the end of the paid period.

Q: How do I dispute a charge?

Email [email protected] within 14 days of the charge โ€” before contacting your bank. See Section 10.

Q: What if I file a chargeback without contacting you first?

Your account will be suspended immediately and we will contest the dispute. If decided in our favour you remain liable for the charge plus chargeback fees. Your account may be permanently terminated. See Section 10.

Q: I lost access to my crypto wallet โ€” can you help?

We do not control or have access to any wallet. Contact [email protected] and we can update the wallet address on your profile going forward, but anchored blockchain records cannot be altered. See Section 11.

Q: How do I update my payment method?

Log into your account โ†’ Billing Settings โ†’ Update payment method.

Q: Can my account be cancelled by Puddingify?

Yes. We reserve the right to terminate any account at any time for violations of these Terms, fraudulent activity, or at our discretion. No refund is issued for terminations for cause. See Section 9.
